Terms and conditions

These terms apply to all services provided by Somnius International, unless agreed otherwise in writing.

1. Definitions

Somnius International: the provider of the services.

Client: the person or legal entity purchasing services.

Services: including Microsoft 365 setup, business email setup, Microsoft 365 management, domain and DNS configuration, Google Cloud tasks, Salesforce support, troubleshooting, and other short consultancy work.

2. Applicability

These terms apply to all quotations, assignments, agreements, and deliveries by Somnius International.

Deviations are only valid if confirmed in writing.

3. Quotes and assignments

Quotes are non-binding unless stated otherwise.

An assignment starts only after the client has approved the quote, estimate, or scope.

Somnius International may refuse an assignment if the scope is unclear, access is missing, or execution is not reasonably responsible.

4. Pricing and payment

Prices are stated excluding VAT unless indicated otherwise.

One-time services are invoiced as agreed in the quote or assignment confirmation.

Hourly work is invoiced based on time spent, unless a fixed price has been agreed in advance.

Invoices must be paid within 14 days of the invoice date, unless agreed otherwise in writing.

5. Monthly services and cancellation

Ongoing services, such as Microsoft 365 management, are provided and invoiced monthly unless agreed otherwise in writing.

Monthly services can be cancelled monthly with a notice period of 1 month.

Cancellation can be made in writing by email.

After cancellation, the service ends at the end of the applicable notice period.

Somnius International may also terminate monthly services with a notice period of 1 month, for example if a service is no longer offered.

Work already performed and ongoing licence or third-party costs remain payable.

6. Access, accounts, and client responsibility

The client must provide correct and timely access to systems, domains, hosting, Microsoft 365, Google Cloud, Salesforce, or other relevant environments.

The client remains responsible for their own accounts, passwords, licences, data, and backups.

Somnius International is not responsible for delay or extra costs caused by missing or incorrect access information.

7. Third parties and licences

Costs for Microsoft, Google, Salesforce, domain registrars, hosting providers, or other third parties are not included unless explicitly stated.

The client accepts the terms of third parties directly.

Somnius International is not liable for outages, price changes, or policy changes by third parties.

8. Performance of work

Somnius International performs work to the best of its knowledge and ability.

Timelines are indicative unless confirmed as a hard deadline in writing.

Technical work may cause temporary disruption. Where possible, this will be coordinated in advance.

9. Liability

Somnius International is only liable for direct damage demonstrably caused by an attributable failure.

Liability is limited to the amount paid for the relevant assignment in the 3 months preceding the damage, with a maximum of €1,000.

Somnius International is not liable for indirect damage, consequential damage, loss of revenue, data loss, missed savings, or damage caused by third-party services.

10. Confidentiality

Parties will treat confidential information confidentially.

Somnius International uses client information only for carrying out the assignment, unless agreed otherwise.

11. Intellectual property

Documents, templates, configurations, texts, or other materials created by Somnius International remain the property of Somnius International unless agreed otherwise in writing.

The client receives a right of use for its own business operations after full payment.

12. Privacy

Somnius International processes personal data only as needed for service delivery, administration, and communication.

13. Force majeure

Somnius International is not liable for delay or failure caused by force majeure, including third-party outages, internet outages, illness, cyber incidents, or government measures.

14. Governing law

These terms are governed by Dutch law.

Disputes will preferably first be resolved through consultation.
